1        Name

 

Sindh Tenpin Bowling Association (herein called STBA)

2        Interpretations

 

In these rules, unless the contrary intention appears.

STBA                               means the society registered as Sindh Tenpin Bowling Association

GOVERNING BODY      means the Office Bearers of the Association.

BOWLING                                   means the participant sport of Tenpin Bowling and BOWLER shall have a corresponding meaning.

CENTRE                                     means the land, buildings and other improvements on one   site used by members of the public for bowling irrespective of the number or method of operation of the bowling lanes provided there.

GENERAL MEETING    means a meeting open to all members of STBA being either an                                   Annual General Meeting or a Special General Meeting.

SEAL                               means the common seal of the STBA.

STBA WEBSITE             shall be the website found at www.stba.org.pk

Words importing the singular shall include the plural.

Words importing the plural shall include the singular.

Words importing the masculine gender shall include the feminine gender.

Words importing the feminine gender shall include the masculine gender.

 


 

The objectives for which Association is established are as under:-

3.1      The Association will operate purely on non-commercial, non-religious, non- political and upon no profit and no loss basis.

3.2      To promote and foster the game of Tenpin Bowling as a competitive sport within the Province of Sindh.

3.3      To represent others Associations within the Province affiliated with Sindh Ten Pin Bowling Association.

3.4      To enforce the playing rules and regulations of PTBF in any competitions, conducted by this Association.

3.5      The Association will establish, maintain bowling alley centers / club premises in Sindh to facilitate members and sportsmen for the promotion of bowling.

3.6      To obtain PTBF accreditation for all bowling competitions promoted, organized and conducted by this Association.

3.7      To promote and develop the sport of Tenpin Bowling throughout the Sindh Province.

3.8      To assist with instruction, resources and advice to members.

3.9      To undertake coaching course, other educational programs, and awareness programs.

3.10   To co-operate with other professional societies that share mutual goals, ethics and interests.

3.11   To conduct regular competitions and one Annual Championships for Adult and Junior members in good standing, in teams, doubles, singles (Man & Women), all events and any other tournaments which from time to time the Association may choose to conduct or be authorized to conduct.

3.12   To promote, organize and conduct any Province Representative Team trials.

3.13   To select Provincial Representative Teams after having provided equality of opportunity to all eligible bowlers within the Province for selection.

3.14   To take those steps considered necessary for raising the finance required to meet the expenses likely to be incurred by the Provincial Representative Teams with respect to transport, accommodation, entry fees and any contingency that may arise likely to affect the comfort and well-being of the Teams and the reputation, honour and prestige of Province.

3.15   To affiliate with the Sindh Olympic Committee.

3.16   To be responsible for the disbursement of all Government funding received in accordance with designated allocations.

3.17   To provide amenities for bowlers, encourage good fellowship and to advance the mutual interest of bowlers.

3.18   To uphold the Constitution of STBA.

3.19   To comply with instructions of or activities approved by the STBA Governing Body in as much as the instructions or activities do not compromise or conflict with the objectives as listed in the STBA Constitution.

 


 

The Office bearer will enjoy powers on behalf of the Association that are appended below:-

4.1      To operate as the Sindh Tenpin Bowling Association now called and referred as STBA.

4.2      To subscribe to, become a member of and co-operate with any other association, club or organization, whether incorporated or not, whose objects are altogether or in part similar to those of STBA provided that STBA shall not subscribe to or support with its funds to any club, association or organization

4.3       In furtherance of the Objects of the STBA, to buy, sell and deal in all kinds of articles, commodities and provisions, for the members of the Association or persons frequenting the Associations premises.

4.4      To purchase, take on, lease, exchange, hire and otherwise acquire any lands, buildings, easements or property, real and personal, and any rights or privileges which may be requisite for the purpose, or capable of being conveniently used in connection with, any Objects of the Association; provided that in case the Association shall take or hold any property which may be subject to any trust, the Association shall only deal with the same in such a manner as is allowed by law having regard to such trusts.

4.5      To enter into any arrangement with any Government or Authority that are incidental or conducive to the attainment of the Objects and the exercise of the Powers of the Association; to obtain from such Government or Authority any rights, privileges and concessions which the Association may think are desirable and to carry out, exercise and comply with any such arrangements, rights and privileges and concessions.

4.6      To appoint, employ, remove or suspend such staff and other persons as may be necessary or convenient for the purposes of the Association.

4.7      To remunerate any person or body corporate for services rendered, or to be rendered as may be necessary or convenient for the purposes of the Association.

4.8      To construct, improve, maintain, develop, work, manage, carry out, alter or control any houses, buildings, grounds, works or conveniences which may seem calculated directly or indirectly to advance the Associations’ interests; to contribute to, subsidize or otherwise assist and take part in the construction, improvement, maintenance, development, working, management, carry out, alterations or control thereof.

4.9      To invest and deal with the money of the Association not immediately required in such manner as may from time to time be thought fit.

4.10   To take or otherwise acquire and hold shares, debentures or other securities of any company or body corporate.

4.11   In furtherance of the Objects of the Association, to lend and advance money or give credit to any person or body corporate; payment of money or the performance of contracts or obligations by any person or body corporate and otherwise to assist any person or body corporate.

4.12   To draw, make, accept, endorse, discount, execute and issue promissory notes, bills of exchange, bills of lading and other negotiable or transferable instruments.

4.13   In furtherance of the Objects of the Association, sell, improve, manage, develop, exchange, lease, dispose of, turn to account or otherwise deal with all or any part of the property and rights of the Association.

4.14   To take or hold mortgage, liens or charges, to secure payment of the purchase price, or any unpaid balance of the purchase price, of any part of the Association’s property of whatsoever kind sold by the Association, or any money due to the Association from purchases and others.

4.15   To take any gift or property whether subject to any special trust or not, for any one or more of the Objects of the Association but subject always to the proviso in sub rule 4.

4.16   To take such steps by personal or written appeals, public meeting or otherwise, as may from time to time be deemed appropriate for the purpose of procuring contributions to the funds of the Association in the shape of donations, annual subscriptions or otherwise.

4.17   To print and publish any newspapers, periodicals, books or leaflets that the Association may think desirable for the promotion of its Objects.

4.18   In furtherance of the Objects of the Association, to amalgamate with any one or more incorporated associations having objects altogether or in part similar to those of the Association and which shall prohibit the distribution of its or their income and property among its or their members to an extent at least as great as that imposed upon the Association.

4.19   In furtherance of the Objects of the Association, to purchase or otherwise acquire and undertake all or any part of the property, assets, liabilities and engagements of any or more of the incorporated associations with which the Association is authorized to amalgamate.

4.20   In furtherance of the Objects of the Association, to transfer all or any part of the property, assets, liabilities and engagements of any one or more of the incorporated associations with which the Association is authorized to amalgamate.

4.21   To make donations for patriotic, charitable or community purposes

4.22   To hold commercial events to raise charitable fund for donation to the cause

4.23   To do all such things as are incidental or conducive to the attainment of the Objects of the Association and the exercise of the Powers of the Association.


5        Membership

5.1      Representative Members shall be the Voting Delegate/s from those associations and Clubs that are affiliated with STBA.

5.1.1  Minimum two months, prior to the Annual General Meeting of the STBA, each year the Centre and Bowling Club/Centers within association area will elect one of their members as Voting Delegate, as provided in the by-laws and shall within ten days thereafter inform the General Secretary of the name and address of the Delegate elected.

5.1.2  The Member elected as Voting Delegate in accordance with article 5.1.1 will hold office until the next annual meeting of Members of the Association with which they are registered at which meeting the Voting Delegate will resign but is eligible for re-election.

5.2      Honorary Members may be appointed by the Association for such period as it thinks fit and may confer and impose on any Honorary Member such privileges and restrictions as it thinks fit and it may terminate the membership.

5.3      Founder Members are those laid down the stone of Association and it may confer on any Founder Member such privileges including the right to vote at a general meeting or any meeting of the Governing Body and impose on any Founder Member such restrictions as it thinks fit. Founder Member may be a Representative Member or Office Bearer of the Association. A candidate for appointment as a Founder Member shall be nominated at an Annual General Meeting and the question of whether such candidate shall be appointed a Founder Member shall be determined at the succeeding Annual General Meeting

5.4      Life Members may be appointed by the Association and it may confer on any Life Member such privileges other than the right to vote at a general meeting or any meeting of the Governing Body and impose on any Life Member such restrictions as it thinks fit provided that any such privileges or restrictions shall be suspended while any Life Member is a Representative Member or Office Bearer of the Association. A candidate for appointment as a Life Member shall be nominated at an Annual General Meeting and the question of whether such candidate shall be appointed a Life Member shall be determined at the succeeding Annual General Meeting.

5.5      Regular Members in their capacity as such have no right to receive notices from the Association or attend, speak or vote at any meeting of the Association. Every natural person who is registered with an Association as a player (whether social or in a league or competition) or as a person interested in and supportive of Bowling or bowlers is eligible to be a Member

5.6      All applications for membership must be lodged with an Association, and upon lodgment and payment of the fee prescribed by the Governing Body from time to time the applicant is thereby admitted as a Member.

5.7      General Secretary shall keep such names and addresses in a membership register which is to be available for inspection at all reasonable times by any member who previously applies to the Secretary for such inspection.

6.1      Annual membership fees payable by members of the STBA shall be determined by the Governing Body and approved by a majority at the Annual General Meeting.

6.2      Annual membership fees are payable by members of the STBA on 1st day of January of each year.

6.3      The Governing Body may impose on members a levy, over and above the annual membership fee to meet any outstanding expense of the STBA. Such levy to be approved by a majority at a general meeting

6.4      Annual subscriptions shall be payable to the Treasurer.

6.5      If a members fails to pay an annual subscription for any year on or before the 1st day of March in that year their membership will be cancelled with immediate effect.

7.1      The Governing Body shall comprise of 09 (nine) office bearers / members who will be elected by the General Body in a General Meeting for a period of Four (4) years. The Governing Body shall comprise of the following Office Bearers.

7.2      A bowler in good standing from a STBA Centre Based Association in the Province may be nominated for membership by the Governing Body.

7.3      At the Annual General Meeting of the Association, all members of the Governing Body shall retire from office after the term, but shall be eligible upon nomination for re-election.

7.4      The election of Governing Body shall be by ballot by those Representative Members present at the AGM and eligible to vote.

7.5      Any member of the Governing Body may resign from the Body by giving written notice to the General Secretary. The resignation has effect the day it is received by the Secretary or at a later day if this is stated in the resignation.

7.6      A member may be removed from the Governing Body at a general meeting of the Association if, after the member has been given the opportunity to fully present his case, 2/3 majority of the members present vote in favour of removing the member. There is no right of appeal against the members’ removal from office under this section.

7.7      Membership shall be open to all people and nationalities who share a belief in the objects of the STBA.

7.8      No member of the Governing Body shall be appointed to any salaried office of the STBA and no remuneration in money or monies worth shall be given by the STBA to any member of the Governing Body except payment of out of pocket expenses.

8.1    If a casual vacancy occurs on the Governing Body, the continuing members may appoint another eligible member to fill the vacancy until the next annual general body meeting.

8.2    The continuing members of the Governing Body may act despite a casual vacancy on the Governing Body.

8.3    If the number of Body members is less than the number required under these rules as a quorum, the continuing members may act only to increase the number of Body members to the number required for a quorum or to call a general meeting of the Association

9.1    Except as otherwise provided by these rules and subject to resolution by the members of the Association carried at any general meeting, the Governing Body shall: -

(a)     have general control and management of the administration of the affairs, property and funds of the Association; and

(b)     have authority to interpret the meaning of these rules and any matter relating to     the Association on which these rules are silent.

9.2      The Governing Body may exercise all the powers of the Association to: -

(a)     Borrow or raise or secure the payment of money in such a manner as the Governing Body of the Association may think fit and secure the same or        payment or performance of any debt, liability, contract, guarantee or other           engagement incurred or to be entered into by the Association in any way and in         particular by the issue of debentures, perpetual or otherwise, charged upon all      or any of the Association’s property, both present and future, and to purchase,          redeem or pay off any such securities.

(b)     Invest in such a manner as the Governing Body of the Association may from        time to time determine.

10.1   PRESIDENT           He is the Head of the Association. President will preside over all the meetings of the Association. In addition, shall approve all the matters that are pertaining with the chair. He will be the key figure to generate and handle top level networking and financial support for promotion and development of sport. He will call meetings of the Managing Committee and either at his own or at the request of the members of the Managing Committee. He may assign any special assignment or task to any member of the Governing Body for smooth functioning of the Association.

10.2   SENIOR VICE PRESIDENT          The Sr. Vice President shall preside over the meetings in the absence of the President and shall exercise powers of President and shall perform duty in his absence. He will also assist the President and look after the matters and working in consultation with the President.

10.3   VICE PRESIDENT  The Vice President shall preside over the meetings in the absence of the President and Sr. Vice President shall exercise powers of President and shall perform duty in his absence. He will also assist the President and look after the matters and working in consultation with the President.

10.4   GENERAL SECRETARY  He shall be the key figure to handle all administrative and operational affairs of the Association. He is entitled to issue all notices of meetings and carry out all necessary communication. He shall be responsible for keeping and maintaining up to date records of the Governing Body and the Managing Committee. He shall be responsible for the preparation of minutes of the meetings, reports of the Association and all other documents, correspondence etc. He will spend and utilize the funds and other resources of the Association in the ways and manner he deems considerable under the larger interest of Association with due approval of President.

10.5   JOINT SECRETARY Joint Secretary will assist the General Secretary, and in the absence of General Secretary he will perform and exercise the duties of General Secretary, however, Joint Secretary shall not have a power to preside or chair managing committee’s meetings. He shall perform all such jobs as assigned by General Secretary and any purpose / matter related to functional affairs of the Association

10.6   TREASURER The Treasurer shall maintain proper accounts and books of accounts, income and expenditure statements for the Managing Committee, Receive donations and other amounts and including subscription and membership fee and issue necessary receipts, to prepare budgets and obtain its sanction from the Managing Committee, to make necessary payments with the approval of General Secretary.

10.7   MEDIA COORDINATOR   The Media Coordinator shall maintain records of all the events related to sports and particularly to the bowling happening at national and international levels. He shall make necessary arrangements for the Associations representation in such events, he shall also maintain a list of all the contacts and the managing committee may require information of important offices. He shall be the overall head of all the social sub committees working within the Association, which shall be related with social affairs, and shall be empowered to assign them the jobs and look after their affairs. He shall be entitled to seek a nominated amount for his office’s operation by Managing Committee.

 

11.1   The Governing Body or the President may appoint a Management Committee to run the day to day administration of the Association.

12.1   RESIGNATION BY NOTICE         Any member may resign his/her membership by giving notice to the General Secretary in writing to that effect and such notice, and by surrender of their membership card or other identification issued by or on behalf of the Association unless otherwise expressed, shall take effect immediately.

12.2   RESIGNATION DEEMED Any member who fails to pay the annual subscription on or before the 1st day of March in that year his/her membership is due shall be deemed to have resigned membership.

12.3   All fee, levies, subscriptions or penalties that are outstanding at the time of resignation or termination of membership from the STBA remain due and payable.


13.1   NOTICE OF COMPLAINT             Any person may make a complaint to the Governing Body that the conduct of a member of the STBA is or has been injurious to the character of the STBA. Every such complaint shall be in writing and addressed to the General Secretary.

13.2   MEETING:  If the Governing Body considers that there is sufficient substance to the complaint, it may invite the member to attend a meeting of the Governing Body and to offer a written or oral explanation of the member’s conduct. The member shall not be represented by a Solicitor at the meeting

13.3   NOTICE OF MEETING:     The Governing Body shall give at least fourteen (14) days written notice of the meeting. The notice shall inform the member of the complaint so that the Member can offer an explanation of his/her conducts and that if the Governing Body is not satisfied with the member’s explanation the Governing Body may expel or suspend the membership of the STBA

13.4   GOVERNING BODY MAY EXPEL:          If, at the meeting, the Governing Body decides to expel the member from the STBA the member shall cease to be a member of the STBA. If at the meeting the Governing Body decides to suspend the member for a limited period the Governing Body shall give notice of that period but not exceeding 90 days. If appealed, a member expelled by the Governing Body may within 14 days give written notice of appeal to the General Secretary. The Governing Body shall then call a Special General Meeting to take place within 21 days of receipt of the notice of appeal. If that meeting passes a resolution rescinding the expulsion the member is reinstated immediately.

13.5   A sixty percent (60%) majority of members present and voting at a properly constituted Special General Meeting is required to quash the suspension or expulsion of a member.

13.6   All votes on the suspension or expulsion of a member shall be cast by secret ballot.

14.1   The representation of the General Body of STBA shall comprise of the following.

14.1.1       All District Associations                One (01) each

14.1.2       City District Karachi                     Five (05)

14.1.3       Technical Committee                   Two (02)

14.1.4       Individual Members                      Four  (04) Two Male /Two Female

14.2   A bowler in good standing from a STBA Centre Based Association in the Province may be nominated for membership by the Governing Body.

15    General Meeting.

15.1   Should any position on the Governing Body not be filled at the Annual General Meeting then the Governing Body may appoint a member to the vacant office. The member so appointed shall hold the office until the next Annual General Meeting.

15.2   Any casual vacancy occurring amongst the Governing Body may be filled by the Governing Body and the member so appointed to fill the vacancy shall hold the office until immediately after the closure of the first AGM subsequent to the respective appointment.

16.1   Unless otherwise provided by these Rules, at every general meeting …

16.2   The Governing Body shall meet as it deems necessary but at least three (2) times in each calendar year. The Governing Body may meet for the dispatch of business, adjourn or otherwise appoint and regulate its meetings as it thinks fit.

16.3   Any two (2) members of the Governing Body may at any time summons a meeting of the Governing Body, should matters arise that require the attention of the Governing Body prior to the next scheduled meeting of the Governing Body. Questions arising at any meeting of the Governing Body shall be decided by a majority vote of that Governing Body present. A determination of the majority of members shall for all purposes be a determination of the Governing Body.

16.4   The President shall be Chairperson, or if he is not present within fifteen minutes after the appointed time of the meeting or is unwilling to act, the Senior Vice President shall be Chairperson or Vice President or if the Vice President is not present or unwilling to act, then the members present shall elect one of the own member to be Chairperson of the meeting.

16.5   The Chairperson shall maintain order and conduct the meeting in a proper and orderly manner.

16.6   Every question, matter or resolution shall be decided by a majority of votes of the members present

16.7   Every member present shall be entitled to one vote and in the case of an equality of votes; the Chairperson shall have a second or casting vote.

16.8   Voting shall be by a show of hands or a division of members, unless not less than one fifth of the members present demand a ballot, in which case there shall be a secret ballot. The chairperson shall appoint two members to conduct the secret ballot in such a manner as he shall determine and the results of the ballot as declared by the Chairperson shall be deemed to be the resolution of the meeting at which the ballot was demanded.

16.9   The Governing Body may continue to act not withstanding any vacancy in the Governing Body so long as their number remains equal to or above that fixed as the quorum in Clause 20.1

16.10  The Governing Body may act only for the purposes of increasing the number of members of the Governing Body from amongst the members of the STBA which they are hereby empowered to do, or of summoning a Special General meeting of the STBA, but for no other purposes should their numbers fall below that fixed as the quorum in Clause 20.1

16.11  Minutes of all Governing Body meetings shall be taken and upon approval by the Governing Body be displayed on the STBA website.

16.12  The Governing Body may from time to time for such purposes as it may deem fit appoint one or more of its members as a subcommittee.

17.1   The Annual General Meeting of the members of the STBA shall be held upon a date or such date and place and at such time appointed by the previous Annual General Meeting and failing such appointment shall be held upon such date at such place and at such time as the Governing Body shall appoint. At least twenty (20) days prior to such a meeting a notice will be placed on the STBA website.

17.2   At the Annual General Meeting a balance sheet showing the financial position of the STBA for the preceding financial year to 31st December and audited by the Auditor of the STBA and a report of the Governing Body shall be submitted.

17.3   Notices of motion for Annual General Meeting- Any member desiring to move at the Annual General Meeting any motion on any matter shall notify the General Secretary in writing at least ten (10) days before the date of the Annual General Meeting. The General Secretary shall within five (5) days before the date of the Annual General Meeting make available a copy of such notice to each member and by placing the notice on the STBA website.

17.4   Unspecified business- Business not specified on the notice calling an Annual General Meeting and of which notice has not been given under Clause 16.3 must be transacted by permission of the Chairperson if not opposed by a majority of the members present.

18.1   Subject to the provisions contained herein as to resolutions amending these rules, all resolutions of the STBA shall be passed by the vote of simple majority of the members who are personally present at a General Meeting and shall be binding on all members whether they are present at the meeting or not.

18.2   The General Secretary shall make available to members at least twenty (20) days prior to the Annual General Meeting all the proposed amendments to these rules by placing the proposed amendments on the STBA website.

18.3   Declaration by the Chairperson of the meeting that a resolution has been carried, or lost, together with an entry in the minute book of the STBA shall be conclusive evidence of the fact.

19.1   Any three (3) members of the Governing Body may at any time it is considered necessary convene a Special Meeting of the STBA.

19.2   A Special General Meeting shall be convened by the General Secretary upon the written request of either, not less than one third number of the members of the STBA,

19.3   The Special General Meeting shall be held within a period of thirty (30) days from the date of receipt of the request. The requisition shall state the purpose for which the meeting is to be called and no other subject shall be discussed in at the meeting.

20.1   The General Secretary shall at least twenty (20) days prior to all general meetings make available to all members a notice of the general meeting by placing such notice of the general meeting on the STBA website. Therein shall be specified the place, the day and the hour of the meeting and the general nature of the business to be dealt with there at. No business apart of which notice has been given shall be conducted at such meetings.

21    Quorum

21.1   At any general meeting the number of members required to constitute a quorum shall be equal to double the number of members of the Association presently on the Governing Body plus one.

21.2   No business shall be conducted at a general meeting unless a quorum of members is present when the meeting proceeds to business.

21.3   If a quorum is not present within thirty minutes after the time fixed for a general meeting called on request of members of the Governing Body or the Association, the meeting lapses.

21.4   If a quorum is not present within thirty minutes after the time fixed for a general meeting called other than on the request of members of the Governing Body or the Association, the meeting is to be adjourned to the same day, time and place in the next week or a day, time and place decided by the Governing Body.

21.5   If at an adjourned meeting, a quorum under 20.1 is not present within thirty minutes after the time fixed for the meeting, the member’s present form a quorum.

21.6   The Chairperson may, with the consent of the meeting at which a quorum is present, and must if directed by the meeting, adjourn the meeting from time to time and from place to place. At a meeting adjourned in such a manner, only the business left unfinished at the meeting from which the adjournment took place may be conducted at the adjourned meeting.

21.7   The Secretary is not required to give the members notice of an adjournment or of the business to be conducted at an adjourned meeting unless the meeting is adjourned for at least thirty days. If a meeting is adjourned for at least thirty days, notice of the adjourned meeting must be given in the same way notice is given for an original meeting.

22.1   The Governing Body shall cause minutes to be made of:-

(a).    All Notifications of Office bearers, Sub-committees and other staff.

(b).    The name of members of the Governing Body present at all meetings of the          STBA and of the Governing Body.

(c).    All proceeding at all meetings of the STBA and of the Governing Body.

22.2   All minutes shall be signed by the Chairperson of the meeting at which the proceedings were held or by the Chairperson of the succeeding meeting.

23.1   The common seal of the STBA shall be approved by the STBA Governing Body and the General Secretary shall be responsible for the safe custody and control thereof.

23.2   Whenever the common seal of the register is required to be affixed to any deed, document, writing or other instrument the seal shall be affixed thereto pursuant to a resolution of the Governing Body and in the presence of a the General Secretary, who shall sign the document or instrument to which the seal is so affixed.

24    Publicity

24.1   No member, other than the Chairperson, General Secretary or a member nominated to do so by either the Chairperson shall purport to speak for and represent the views of the STBA as a whole without first having obtained the approval of the Governing Body to do so.

24.2   The Website Manager is approved to regularly update the STBA website as necessary to ensure that information contained therein remains current.

25.1   The offices of the STBA shall be located at a suitable place as determined by the Governing Body.

26.1   Any notice to a member of the STBA may be served upon that member either personally or by sending it prepaid through the post addressed to the members last known address.

26.2   Any notice served by post shall be considered served on the fifth day following posting.

27.1   The financial year of the STBA shall begin on the 1st day of January and end on the 31st day of December of that year.

28.1   All monies received by or on behalf of the STBA shall forthwith be paid to the credit of the STBA in an account with a bank or savings bank from time to time to be fixed by the Governing Body.

28.2   The Treasurer will present at each and every Governing Body meeting:
(a).   A financial report for the period aligning with the most recently completed GST      return period.

(b).    A proposed expenditure budget for the subsequent six months.

28.3   The General Secretary will make them available to the members of the STBA by placing them on the STBA website.

28.4   Subject to individual payments not exceeding more than Rs. 25,000, all payments made by the STBA shall be made under the signature of General Secretary / Treasure

28.5   Subject to individual payments exceeding more than Rs. 25,000, all payments made by the STBA shall be made under the signature of President / Senior Vice President / Vice President and General Secretary /Treasure

28.6   The Governing Body may from time to time invest and re-invest in such securities and upon such terms as it shall think fit the whole or any part of its monies which shall not be required for immediate business of the STBA.

29.1   The Governing Body shall not without approval of the Governing Body members at a general meeting borrow monies or issue debentures, bonds, mortgages or any other security.

30.1   The income and property of the STBA shall be applied solely towards the promotion of the objects of the STBA, as set out in Clause 3 hereof, and no portion thereof shall be paid or transferred directly or indirectly to a member or members of the STBA.

30.2   No member or person associated with a member of the STBA shall derive any income, benefit or advantage from the STBA where they can materially influence the payment of the income, benefit or advantage whatsoever.

30.3   Any such income paid shall be reasonable and relative to that which would be paid in an arm’s length transaction (being open market value). The provisions and effect of this clause shall not be removed from this document, and shall be included and implied into any document replacing this document.

31.1   The Governing Body shall appoint an Auditor who is a member of the any National Institute of Chartered Accountants but is neither a member of the STBA nor a relative of any member of the Governing Body.

31.2   The Auditor shall hold office so long as the Governing Body thinks fit and shall be paid whatever remuneration the Governing Body determines.

32.1   The Auditor shall audit the STBA financial statements and prepare a report thereon for presentation to the members at the Annual General Meeting by the Treasurer.

33.1   The Treasurer shall keep books of accounts and shall submit to each Annual General Meeting a statement of the STBA assets and liabilities, and income and expenditure for the preceding financial year.

34.1   Any Club whose principal objective is to promote the sport of tenpin bowling in Sindh can make application to the STBA to be recognized as an affiliated club.

34.2   Affiliation will be determined by a majority vote of the Governing Body.

34.3   Upon approval of affiliation, it is the responsibility of the affiliated club to ensure that all its members remain financial members of STBA. Any affiliated club found to have members who are not financial STBA members may have their affiliation terminated by the Governing Body.

34.4   The Governing Body will only recognize affiliated club in each city / town / district. The borders of each city / town / district will be aligned with those of the local Governing Body.

34.5   The Governing Body is permitted to affiliate national representative special interest organizations who share a belief in the objects of STBA.

35.1   The mode of voting on all questions (other than elections) at all general meetings shall be by a show of hands or, if the Chairperson or any three (3) members shall require, by secret ballot.

35.2   The mode of voting on all elections at the Annual General Meeting shall be by secret ballot.

35.3   When a secret ballot is required a returning officer and a sufficient number of assistants shall be appointed at the meeting.

35.4   When there is only one nominee for any position, the nominee will be elected as unopposed.

35.5   When there are two nominees for any position, the nominee receiving the most votes will be elected.

35.6   When there are 3 or more nominees for any Governing Body position, all nominees will participate in one ballot. The 2 nominees receiving the most votes in this ballot will proceed to a second ballot. The nominee receiving the most votes in the second ballot will be elected.

35.7   No member who is un-financial may vote at any meeting.

35.8   In the case of an equality of votes, whether on a show of hand or on a poll, the Chairperson of the meeting shall be entitled to a second and casting vote.

35.9   Only members of the STBA have the right to vote on STBA matters. Each member present and voting at a general meeting of the STBA shall have one (1) vote.

35.10  No member may hold proxy votes on behalf of other members not in attendance at the meeting.

36.1   If upon the winding up or dissolution of the STBA there remains after the satisfaction of all STBA debts and liabilities any property whatsoever the same shall not be paid to or distributed among the members of the STBA but shall be given or transferred to some other organization or Governing Body having objects similar to the objects of STBA or to some other charitable organization or purpose, within Province.

37.1   The Governing Body have the power to make such by-laws as are in their opinion necessary and desirable for the proper control, administration and management of the Association affairs.

37.2   Notwithstanding the provisions of article 36.1, the Association in general meeting may amend or repeal any by-law made by the Governing Body

37.3   A by-law:
(a)  is subject to this Constitution;
(b)  must not be inconsistent with any provision of this Constitution; and
(c)  is binding on all Members and has the same effect as a provision of this       Constitution.

38.1   The rules of the STBA may be altered, added to or rescinded at any general meeting provided that notice setting out such alteration, addition or rescission has been made available to all members by placing such notice on the STBA website with the notice of the meeting not less than twenty (20) clear days prior to the meeting.

38.2   All resolutions amending these rules shall be passed by the vote of majority of two thirds (2/3) of the financial members who are personally present.

38.3   No addition to or alteration of the non-profit aims, personal benefit clause or the winding-up clause shall be approved without the approval of concerned state authority.

38.4   The provisions and effect of clause 37.3 shall not be removed from this document and shall be included and implied into any document replacing this document.

39.1   The STBA shall, in all its activities and dealings, be non-religious and non-political.

40.1   If any matter shall arise which is not, or in the opinion of the Governing Body is not, provided for by or under this constitution, the same shall be determined by the Governing Body as it shall deem fit, and every such determination shall be binding on STBA and its members unless and until set aside by a resolution at a General Meeting.
